Terms of Service

Infrastructure Disclaimer: Comorando is infrastructure tooling, not a financial service. Results vary based on your event volume, customer base, and configuration. Comorando does not guarantee specific business outcomes, revenue amounts, or churn reduction rates. All outcome data and estimates are directional and depend entirely on your implementation.

1. Acceptance of Terms

By accessing or using Comorando ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and Comorando.

2. Description of Service

Comorando provides a backend event automation API ("Payment Intelligence Engine") that processes webhook events, applies AI-driven decision logic, executes predefined actions, and maintains an organizational memory layer for context-aware automation. The Service is provided "as is" and is intended for use by software developers and organizations building SaaS products.

Comorando is infrastructure tooling. It automates event handling and state management logic. It is not a financial service, payment processor, debt collection service, or credit intermediary of any kind. Comorando does not handle, hold, transmit, or collect funds on your behalf.

Comorando uses artificial intelligence models (including locally-hosted Gemma 4B and third-party models accessed via API) to classify event severity, estimate churn risk, select retry strategies, and generate recommendations. You acknowledge and agree that:

Growth and above plans include an organizational memory feature ("Org Memory") that stores per-organization context: event history, churn signals, retry outcomes, engagement scores, and AI-generated annotations. You acknowledge that:

5. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.

6. Account Registration

To use the Service you must register and provide accurate information. You are responsible for maintaining the security of your API keys. You must notify us immediately of any unauthorized use of your account at hello@comorando.com.

8. Performance Plan — Outcome Fee

The Performance plan includes a results-based fee (3% of attributed subscription outcomes) in addition to the base monthly rate. "Attributed outcomes" are calculated based on subscription events processed by Comorando during the billing period where the AI system flagged a retention-relevant action. This attribution is approximate and determined solely by Comorando's logging system. You agree that this calculation methodology is the agreed basis for outcome fee billing.

9. Free Plan

The Free plan provides 500 events per month at no cost. Comorando reserves the right to modify or discontinue the Free plan at any time with 30 days notice to registered users.

10. Overage Billing

Events processed above your plan's monthly limit are billed as overage at the rates published on our pricing page. Overage charges are applied to your next billing cycle. You will not be cut off without prior notification.

11. Cancellation

You may cancel your subscription at any time by contacting hello@comorando.com. Cancellation takes effect at the end of the current billing period. You retain full access until that date. No partial refunds are issued for unused time.

12. Acceptable Use

You agree not to use the Service to: violate any laws or regulations; transmit malicious code or harmful content; attempt to gain unauthorized access to our systems; interfere with the integrity of the Service; resell or sublicense the Service without authorization; process events on behalf of third parties without their consent.

13. No Financial Services

Comorando does not provide financial advice, payment processing, debt collection, credit services, or any regulated financial activity. Any reference to "revenue," "churn," or "outcomes" in our marketing or product describes automation infrastructure behavior, not guaranteed financial results. You are solely responsible for your own financial decisions and obligations to your customers.

14. Uptime and Service Availability

Comorando targets 99.9% uptime but does not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. Comorando is not liable for damages resulting from service interruptions.

15. Data and Privacy

Your use of the Service is governed by our Privacy Policy, including the sections covering AI processing and organizational memory. By using the Service, you consent to the collection and use of data as described therein.

16. Intellectual Property

All intellectual property in the Service is owned by Comorando. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service. You retain ownership of any data you submit.

17. Limitation of Liability

To the maximum extent permitted by law, Comorando shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of or inability to use the Service, or from any AI decision made by the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

18. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. Comorando does not warrant that the Service will be error-free, secure, or meet your specific requirements. AI-driven features are provided on a best-effort basis without guarantee of accuracy or outcome.

19. Indemnification

You agree to indemnify and hold harmless Comorando from claims, losses, and expenses arising from your use of the Service, violation of these Terms, or any claim that your use of AI-driven automation features caused harm to a third party.

You are solely responsible for ensuring that your retry configuration complies with the acceptable use policy of your payment processor (including, without limitation, PayPal AUP section 4.3 and equivalent Stripe policies). Comorando is not liable for any account suspensions, terminations, or penalties imposed by your payment processor arising from retry configurations you have deployed through the Service. It is your obligation to review and adhere to all applicable processor guidelines before activating automated retry logic.

20. Modifications

Comorando may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email to registered users.

21. Governing Law

These Terms are governed by the laws of Argentina. Any disputes shall be resolved through binding arbitration before being escalated to courts.
